Service Terms

RESERVATION
A retainer fee of $100.00 is required to book work estimated to cost less than $500.00. A retainer fee of 40% of the estimated cost is required to book work estimated to cost $500.00 or more. A signed contract and retainer fee are required to reserve work. If any work or related event(s) are rescheduled, postponed, or canceled without providing notice within the time specified in the CANCELLATION section; or if there is a breach of contract by the CLIENT, any retainer fee or deposit is non-refundable and shall be liquidated damages to The PHOTOGRAPHER. The CLIENT shall also be responsible for payment for any of the PHOTOGRAPHER's materials charges incurred up to time of cancellation.

EVENT SCHEDULE
The client agrees to confirm the schedule one-week prior to the EVENT(S). Notification of any changes in schedule or location must be made in a timely manner and confirmation of receipt must be obtained from the PHOTOGRAPHER by the CLIENT.

SAFETY
The PHOTOGRAPHER reserves to right to terminate coverage and leave the location of the EVENT(S) if the photographer from the PHOTOGRAPHER experiences inappropriate, threatening, hostile or offensive behavior from person(s) at the EVENT(S); or in the event that the safety of the photographer from the PHOTOGRAPHER is in question.

SHOOTING TIME / ADDITIONS
The CLIENT and the PHOTOGRAPHER agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties. Shooting commences at the scheduled start time and ends at the scheduled end time. If the CLIENT does not arrive at the appointed time for the EVENT(S), shooting will commence at the scheduled start time and end at the scheduled end time. All additional time beyond the scheduled end time will be billed to the CLIENT at the rate of $100.00 USD per hour.

EXPENSES INCURRED
When applicable, the CLIENT is responsible for all travel, accommodation, meal and transport costs unless provided by the CLIENT.

TRAVEL EXPENSES
Travel to any work beyond 40 miles away are charged at $0.55 per mile for round trip travel.

RESPONSIBILITIES
The PHOTOGRAPHER is not responsible for compromised coverage due to causes beyond the control of the PHOTOGRAPHER including but not limited to obtrusive guests, lateness of the CLIENT or guests, weather conditions, schedule complications, incorrect addresses provided to the PHOTOGRAPHER, rendering of decorations, or restrictions of the locations. The PHOTOGRAPHER is not responsible for backgrounds or lighting conditions which may negatively impact or restrict the photo coverage. The PHOTOGRAPHER is not held liable for missed coverage of any part of the EVENT(S). The PHOTOGRAPHER will not be held accountable for failure to deliver images of any individuals or any objects at the EVENT(S).

VENUE AND LOCATION LIMITATIONS
The PHOTOGRAPHER is limited by the rules and guidelines of the location(s) and site management. The CLIENT agrees to accept the technical results of their imposition on the PHOTOGRAPHER. Negotiation with the officials for moderation of guidelines is the CLIENT's responsibility; the PHOTOGRAPHER will offer technical recommendations only.

PERMITS
The CLIENT is responsible for acquiring all permits and necessary permission for all locations on which the PHOTOGRAPHER will be performing services.

FILM and COPYRIGHTS
The photographs produced by the PHOTOGRAPHER are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without the PHOTOGRAPHER's explicitly written permission. Unless otherwise specified, it is understood that any and all rights including editing, printing, duplication, distribution and all other copyright ownership entitlements and privileges regarding proofs, final, sample prints, DVD's, or any other media in connection with this event thereof, shall remain the property and authority of the above mentioned parties. PHOTOGRAPHER can use the photos herein in limited capacity in his online or printed portfolio for acquiring new business / clients only and in unaltered original or retouched format only.

MODEL RELEASE
The CLIENT hereby assigns the PHOTOGRAPHER the irrevocable and unrestricted right to use and publish photographs of the CLIENT or in which the CLIENT may be included, for editorial, trade, advertising, educational and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same without restriction. The CLIENT releases all claim to profits that may arise from use of images.

LIMIT OF LIABILITY
In the unlikely event that the assigned photographer from the PHOTOGRAPHER is unable to perform to the guidelines of this contract due to an injury, illness, act of God, act of terrorism, or other cause beyond the control of the PHOTOGRAPHER, the PHOTOGRAPHER will make every effort to secure a replacement. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the EVENT(S).

In the unlikely event that digital files have been lost, stolen, or destroyed for reasons beyond the PHOTOGRAPHER's control, including but not limited to camera, hard drive, or equipment malfunction, the PHOTOGRAPHER liability is limited to the return of all payments received for the EVENT(S). The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals. The PHOTOGRAPHER is not liable for the loss of images beyond the lesser of the final delivery of all products included in the package or one year.

CAPTURE AND DELIVERY
The PHOTOGRAPHER is not liable to deliver every image taken at the event. The determination of images delivered to the CLIENT is left to the discretion of the PHOTOGRAPHER.

POST PRODUCTION AND EDITING
The final post production and editing styles, effects, and overall look of the images are left to the discretion of the PHOTOGRAPHER.

PAYMENT SCHEDULE
Unless otherwise specified, payment (including any outstanding balance) is due, in full, at the completion of shooting. In the event the CLIENT fails to remit payment as specified, the PHOTOGRAPHER shall have the right to immediately terminate this agreement with no further obligation, retain any monies already paid, and not attend any event(s). Returned checks will be assessed a $50.00 non-sufficient funds fee. Shoots or events scheduled to span more than one day must be paid in full for each day's portion of the service fee at the completion of each day's work. Payment received after each day of shooting or after the specified due date on an invoice, bid, quote, or any other correspondence in which a request for service is made to the PHOTOGRAPHER is considered late and is subject to the fee(s) outlined in the FEES section.

FEES
Unless otherwise specified, payment received after the date which payment is due is considered late and subject to the following fee schedule:

For work billed $250.00 or less, late payments are assessed a $10.00 late fee.
   For work billed $250.01 to $ 500.00, late payments are assessed a $20.00 late fee.
   For work billed greater than $500.01, late payments are assessed a 6.5% late fee.

PRICING
Services or merchandise not included in this initial contract will be sold at the current price when the order is placed. All prices are subject to change at any time without notice. Credit vouchers have no intrinsic cash value and may only be applied toward merchandise purchased from the PHOTOGRAPHER.

DEPOSIT
Unless otherwise stated, all deposits are refundable only after all service and cancellation fees have been paid.

TERMS OF SALE

The following is a legal agreement between you or the person on whose behalf you are purchasing this Artwork and/or content ("Artwork", "Work", "Works", "Image" or "Images") and Erik George Dobecky, ("The Photographer"). Please read this agreement carefully before purchasing any Artwork. By downloading any Image, you agree to be bound by the terms of this agreement, the "Terms of Sale".
The Photographer reserves the right to change any of the terms of this agreement at any time, and you agree to be bound by such changes. If and when changes are made to this agreement an announcement will appear on the storefront or with the description of your purchase. Please make sure that you read and understand all such changes. If you do not agree to these Terms of Sale, do not download or use any Images.

PART I
    
1.
    
        All Images produced by The Photographer are protected by United States and international copyright laws and treaties. The Photographer  owns all rights, including the copyrights in and to the Images. The Photographer reserves all rights in and to the Images not expressly granted to you by the terms of this license. Your rights to use any Image are subject to this license agreement and are conditioned upon your payment to The Photographer for your use of the Images. If you fail to make any payment to The Photographer when due, or if any check is dishonored or credit card charge refused or charged back, your payment will be deemed delinquent. Provided that your payment was current at the time you downloaded an Image and you were not otherwise in breach of any of the terms hereof (or of the terms of any other agreement between you and The Photographer), you have the right to use the downloaded Image, subject however, to the terms of this agreement. If your payment becomes delinquent, your right to use any Images downloaded at any time shall automatically terminate unless all payments together with any interest thereon and The Photographer's costs of collection, bank charges and credit card processing fees are received by The Photographer no later than fifteen (15) days from the date that your payment became delinquent.     
    
2.
    
        By this Agreement, The Photographer grants you a personal, non-exclusive, non-transferable, right to use and reproduce Images in the following ways, subject to the limitations set forth herein and in Part II hereof:     
    
a)
    
        On private displays, televisions, digital frames, telephones, and any other device used to display a static image not used in any commercial setting;     
    
b)
    
        As toolbar skins, screensavers and mobile phone "wallpaper" for your own personal, non-commercial use, not for resale, download or distribution;     
    
c)
    
        As prints, posters (i.e. a hardcopy) and other reproductions for your own personal, non-commercial use and display, not for resale, download or distribution;     
    
d)
    
        As a single hand painted reproduction (not as a printed reproduction) on canvas or other material to be used as decoration and not resold;

3.
    
        In the event that you create a derivative work based on or incorporating one or more Images, all rights in and to such Images shall continue to be owned by The Photographer or its Submitter(s), subject to your rights to use such Image(s) pursuant to the terms and limitations set forth herein.     
    
4.
    
        All other rights in the Images are expressly reserved by The Photographer for himself.

PART II

YOU MAY NOT:
    
5.
    
        Use an Image other than as specified in PART I.     
    
6.
    
        Except as expressly provided in Part I hereof, directly or indirectly copy or reproduce any Image (in whole or in part) for any purpose other than to maintain a backup or archival copy. Nor may you produce or otherwise create for resale or distribution, printed reproductions of any Image on canvas, paper, plastic or any other medium unless expressly permitted by this agreement.     
    
7.
    
        Use or display any Image on websites or in connection with any service designed to sell or induce sales of "print on demand" products using or incorporating Image(s), including, by way of example only, postcards, mugs, t-shirts, posters, giclee prints, wallpaper, artwork and other items.     
    
8.
    
        Use an Image together with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third party's trademark or intellectual property.     
    
9.
    
        Use an Image in a way that places any person depicted in the Image in a bad light or in a way that they may find offensive - this includes, but is not limited to the use of Images: a) in pornography, "adult videos" or the like; b) in ads for tobacco products; c) in ads or promotional materials for adult entertainment clubs or similar venues, or for escort, dating or similar services; d) in connection with political endorsements; e) in advertisements or promotional materials for pharmaceutical or healthcare, herbal or medical products, including, but not limited to dietary supplements, digestive aids, herbal supplements, personal hygiene or birth control products; and f) uses that are defamatory, or contain otherwise unlawful, offensive or immoral content. You may not use an Image containing the likeness of a person if such use implies that the model engages in any immoral or illegal activity or suffers from a physical or mental infirmity, ailment or condition.     
    
10.
    
        Resell, redistribute or transfer any Image except as specifically provided herein. 
    
11.
    
        Share an Image by providing access to such Image on shared disk drives, computer networks, intranets of any nature or otherwise.     
    
12.
    
        Use The Photographer Images in a manner that competes with The Photographer's business. This includes, by way of illustration only and not by way of limitation, displaying Images in any format (including thumbnails) for download on a website, offering The Photographer's Images for sale, or including The Photographer's Images in templates of any nature, including templates for websites, social networking websites (e.g., MySpace.com, Facebook, etc.) documents, projects or otherwise for distribution and/or sale to third parties.     
    
13.
    
        You may not create a digital or print greeting card line based on The Photographer's Images - or use our Images as the basis for any individual or collection of physical or digital objects which you then offer for sale.
    
    
14.
    
        Use any Image (in whole or in part) as a trademark, service mark, logo, or other indication of origin, or as part thereof , or to otherwise endorse or imply the endorsement of any goods and/or services.     
    
15.
    
        Use or display an Image in such a manner that gives the impression that the Image was created by you or a person other than the copyright holder of that Image     
    
16.
    
        Represent yourself as an agent, employee, designee, or affiliate of The Photographer for any purpose, including but not limited to the negotiation of any business, distribution, partnership, or development agreement.

17.
    
        Use automated programs, applets, bots or the like to access the egdphoto.com website or any content thereon for any purpose, including, by way of example only, downloading Images, indexing or caching the content on the website.

PART III
    
18.
    
        The Photographer shall be under no obligation to refund your payment under any circumstances. However, in the event that The Photographer determines that you are entitled to a refund of all or part of your payment, such refund shall only be made to the credit card account originally used by you to purchase your subscription. If your payment was paid by check, your refund will be made by check.     
    
19.
    
        "Non-transferable" as used herein means that except as specifically provided in these Terms of Sale, you may not sell, rent, load, give, sublicense, or otherwise transfer to anyone, the Image or the right to use the Image. 
    
20.
    
        You agree to indemnify and hold The Photographer, his officers, employees, shareholders, directors, managers, members and suppliers, harmless against any damages or liability of any kind arising from any use of the Image other than the uses expressly permitted by this Agreement. You further agree to indemnify The Photographer for all costs and expenses that The Photographer incurs in the event that you breach any of the terms of this or any other agreement with The Photographer.     
    
21.
    
        The Photographer warrants and represents that:     
    
a)
    
        unaltered Images downloaded and used in full compliance with these Terms of Sale and applicable law, will not infringe any copyright, trademark or other intellectual property right, nor will such unaltered Images violate any third parties' rights of privacy or publicity;     
    
b)
    
        Unaltered Images do not and will not: (i) violate any US law, statute, ordinance, or regulation; (ii) be defamatory or libelous; or (iii) be pornographic or obscene.     
    
c)
    
        While The Photographer makes commercially reasonable efforts to ensure the accuracy of Image keywords and descriptions, as well as the integrity of our Editorial Images, The Photographer makes no warranties and/or representations regarding such keywords, Image descriptions or integrity.     
    
22.
    
        Notwithstanding anything to the contrary contained herein, The Photographer shall not be liable for any damages, costs or losses arising as a result of modifications made to Images or the context in which the Images are used by you.     
    
23.
    
        This contract is governed by and shall be construed in accordance with the laws of the State of Maryland. The United Nations Convention on Contracts for the International Sale of Goods does not apply to or otherwise affect these TOS. You hereby consent to the personal jurisdiction of the state and federal courts located within such state. All actions, controversies and disputes arising from or relating to this agreement shall be heard and decided exclusively before the courts located within the State of Maryland and not elsewhere. You agree that service of process in any actions, controversies and disputes arising from or relating to these TOS may be effected by mailing a copy thereof by registered or certified mail (or any substantially similar form of mail), postage prepaid, to the other party however, nothing herein shall affect the right to effect service of process in any other manner permitted by law. This agreement shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of this agreement shall not affect the validity or enforceability of the balance hereof.

        If you are unsure of your rights under this agreement, or if you wish to use an Image in a manner not expressly permitted under this agreement, please contact the photographer via this website's means of contacting sellers.
    
25.
    
        If you are entering into this agreement on behalf of your employer or other entity, you warrant and represent that you have the full right and authority to do so. In the event that you do not have such authority, you agree that you will be personally liable to The Photographer for any breaches of the terms of this agreement.

IN THE EVENT THAT YOU BREACH ANY OF THE TERMS OF THIS OR ANY OTHER AGREEMENT WITH THE PHOTOGRAPHER, THE PHOTOGRAPHER SHALL HAVE THE RIGHT TO NOTIFY THE OPERATOR OF THIS WEBSITE OF THE VIOLATION AND TERMINATE THE PRODUCTION OF ANY OTHER WORKS PURCHASED. SUCH TERMINATION SHALL BE IN ADDITION TO THE PHOTOGRAPHER'S OTHER RIGHTS AT LAW AND/OR EQUITY. THE PHOTOGRAPHER SHALL BE UNDER NO OBLIGATION TO REFUND ANY FEES PAID BY YOU IN THE EVENT THAT YOUR PURCHASE IS TERMINATED BY REASON OF A BREACH ANY SUCH BREACH OR BREACHES.
    THE PHOTOGRAPHER MAKES NO REPRESENTATIONS OR WARRANTIES WHATSOEVER OTHER THAN THOSE EXPRESSLY MADE IN PARAGRAPH 21 HEREOF, AS TO THE LEGALITY OR VALIDITY OF YOUR USE OF ANY IMAGE OR OF ANY RELEASE ASSOCIATED WITH AN IMAGE. THE IMAGES, AND ANY STORAGE MEDIA AND ACCOMPANYING MATERIALS (IF APPLICABLE), ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
    THE PHOTOGRAPHER GRANTS NO RIGHTS AND MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE USE OF ANY NAMES, TRADEMARKS, SERVICE MARK, LOGOTYPES, COPYRIGHTED DESIGNS OR WORKS OF ART OR ARCHITECTURE DEPICTED IN ANY IMAGE. IT IS YOUR RESPONSIBILITY TO ASSURE THAT ALL NECESSARY RIGHTS, CONSENTS, OR PERMISSIONS THAT MAY BE REQUIRED FOR YOUR USE OF ANY IMAGES ARE OBTAINED.
    THE PHOTOGRAPHER DOES NOT WARRANT THAT THE IMAGE(S), THE PHOTOGRAPHER WEBSITES, OR OTHER MATERIALS, WILL MEET YOUR REQUIREMENTS OR THAT USE WILL BE UNINTERRUPTED OR ERROR FREE. THE ENTIRE RISK AS TO THE QUALITY, PERFORMANCE AND USE OF THE IMAGE(S) IS SOLELY WITH YOU.
        IN NO EVENT, SHALL THE PHOTOGRAPHER'S TOTAL AGGREGATE LIABILITY TO YOU, OR TO ANY THIRD PARTY CLAIMING THROUGH YOU, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PHOTOGRAPHER'S WEBSITE AND/OR STOREFRONT AND/OR IMAGE(S) CONTAINED THEREON (WHETHER IN CONTRACT, TORT OR OTHERWISE) EXCEED THE MONETARY AMOUNT ACTUALLY RECEIVED BY THE PHOTOGRAPHER FROM YOU FOR YOUR USE OF THE APPLICABLE IMAGE(S). NEITHER THE PHOTOGRAPHER NOR ANY OF HIS OFFICERS, EMPLOYEES MANAGERS, MEMBERS, SHAREHOLDERS, DIRECTORS OR SUPPLIERS SHALL BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE IMAGE(S), THE PHOTOGRAPHER'S BREACH OF THIS AGREEMENT, OR OTHERWISE, UNLESS EXPRESSLY PROVIDED FOR HEREIN, EVEN IF THE PHOTOGRAPHER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. IN NO EVENT, SHALL THE PHOTOGRAPHER'S TOTAL AGGREGATE LIABILITY TO YOU, OR TO ANY THIRD PARTY CLAIMING THROUGH YOU, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PHOTOGRAPHER'S WEBSITE AND/OR STOREFRONT AND/OR IMAGE(S) CONTAINED THEREON (WHETHER IN CONTRACT, TORT OR OTHERWISE) EXCEED THE LIMITS OF LIABILITY.

Cancellation Terms & Refund Policy

CANCELLATION
The CLIENT must cancel scheduled services at least 48 hours before their scheduled service time. Services cancelled within 48 hours of the scheduled service are subject to a cancellation fee of 35.00 USD or 25% of the agreed upon fee for service, whichever is greater. CLIENT cancellation will be considered up to the agreed upon date and time of service, after which the CLIENT will be considered as not showing up ("NOSHOW" ) and subject to the NOSHOW policy.

LATE ARRIVAL
CLIENTS arriving 20 minutes or more late to a shoot are subject to the cancellation fee of 35.00 USD or 25% of the agreed upon fee for service, whichever is greater.

NOSHOW
CLIENTS who do not arrive within 20 minutes of the agreed upon date and time of service and have not reached the PHOTOGRAPHER to arrange cancellation or rescheduling may be considered a NOSHOW and are subject to the NOSHOW fee of 50.00 USD or 35% of the agreed upon fee for service, whichever is greater.

REFUND
Refunds may be issued in the unlikely event that the PHOTOGRAPHER  is unable to provide the CLIENT with ANY digital or physical proofs or pictures or if the CLIENT has paid a refundable deposit AND the PHOTOGRAPHER is unable to perform the agreed up service. No refunds will be issued based on the perceived quality of photos.
